General terms and conditions of sale

  1. All orders accepted by ADI Scientific Pty Ltd trading as Advanced Laboratory Solutions herein after referred to as ALS, are subject to the following General Terms and Conditions of Sale. Whoever transacts or receives a quotation from ALS will herein after be referred to as the Purchaser. The Purchasers terms of purchase deferring there from, will be valid only if confirmed by ALS in writing.
  2. Prices are Nett, excluding VAT and are subject to our exchange rate clause.
  3. Prices for accessories quoted apply only if ordered as part of the complete system quotation.
  4. Exchange rate - Please note the selling prices for imported items are based on foreign currencies. Any variations between the rate quoted, and actual paid rate will be for the Purchaser?s account. Forward cover can be purchased to fix the price in Rand. This can only be done on request by the Purchaser, at the point of order placement, in order to obtain a firm Rand price.
  5. Quotations are valid for 30 days unless otherwise stated in writing, but are subject to fluctuations in the exchange rate and suppliers' price lists.
  6. Payment Terms
    1. "as quoted"
    2. Trade discounts reflected on the invoice will be forfeited if invoices are not paid within 30 (thirty) days from date of invoice. Late payments do not quality for discounts and overdue accounts will attract interest at the rate of 1.5% per month.
    3. Orders placed on overdue accounts cannot be executed until all due amounts are settled, and we reserve the right to withdraw credit facilities should the account be persistently overdue.
    4. Part deliveries if accepted by the purchaser are due for payment within 30 (thirty) days from date of invoice.
    5. All goods remain the property of Advanced Laboratory Solutions until the buyer's account is paid in full.
    6. Should the installation of the quoted equipment be delayed through no fault of Advanced Laboratory Solutions, ALS reserves the right to payment in full on date of delivery.
    7. For first order placement on consumables and equipment under R10 000.00 excluding VAT and payment is strictly CIA (Cash in Advance).
  7. Delivery is "as quoted".Goods/Orders with a value of greater than ZAR 2 000.00 are delivered as per the international convention Incoterm 2011 as DAP (Delivered At Place). Goods/Orders with a value less than ZAR 2 000.00 are delivered as per the international convention Incoterm 2011 as EXW (Ex Works). Whilst ALS undertakes to deliver the goods as soon as is reasonably possible, ALS shall not be liable for any loss or damage whatsoever which the Purchaser may suffer arising from the late delivery or non-delivery of goods for any reason.
  8. Courier Charges of R250 will be levied for orders of less than R2 000.00 (excl VAT). where Purchaser?s elect to have the delivery terms changed from EXW (Ex Works) to DAP (Delivered At Place). Where Purchaser?s send instruments for calibrations, the courier charges are strictly for the Purchasers account.
  9. The terms of delivery are as per the international convention Incoterm 2011 as DAP (Delivered At Place). This means that the goods are placed at the disposal of the Purchaser, on the arriving means of transport, ready for unloading at the named place of destination. It is the responsibility of the Purchaser to ensure all necessary services are available at the installation site.
  10. InstallationCommissioning and on-site training of operators are included in this quotation unless otherwise stated.
  11. Warranty - The highest possible standards are maintained for our goods and services and products are guaranteed on behalf of our overseas suppliers for a period of 12 (twelve) months unless otherwise stated in writing subject to the conditions mentioned below, against defects in material & workmanship. This warranty is subject to the fulfilment of the following conditions:
    1. All claims must be notified in writing no later than 7 (seven) days from date of receipt of goods.
    2. Our liability for faulty goods does not extend to deterioration caused by wear and tear, or to damage due to faulty or careless handling, excessive strain, unsuitable service conditions, improper use or any other conditions whatsoever, which is beyond our control.
    3. The warranty becomes null and void if alterations or repairs are carried out by the purchaser or by third parties without our prior consent.
    4. Our liability is confined to our goods or parts and does not cover damages caused to plant machinery or other equipment or for any consequential loss or damage whatsoever.
    5. Where applicable, warranty cards and instruction manuals are supplied with goods delivered.
    6. Advanced Laboratory Solutions will not accept any claims for shortages or breakages where the Purchaser has accepted in writing the receipt of goods without checking.
    7. Where extended warranties are offered by our suppliers, these will be honoured locally and are limited to repair labour and parts costs only. Freight costs for both instrument and any parts imported will be for the client’s account. Should parts be found to have been damaged due to misuse/ negligence, when inspected by a supplier, such parts and associated repair costs would be chargeable and treated as a standard repair.
  12. Cancellation requests on special orders, local or imported will not be accepted. All other confirmed and accepted orders cannot be cancelled except with our written consent.
  13. Insurance – as per our stated Incoterms 2011 terms of delivery DAP (Delivered At Place), please note that all risk transfers to the Purchaser when the goods are delivered at the named place of destination. For goods shipped on the Purchaser’s behalf, or customer goods shipped to suppliers or 3rd parties for repair or evaluations (including goods under warranty), this will be done at the Purchasers or Customer’s risk. Purchasers or Customers need to ensure that they have adequate insurance cover of their own as the insurance risk lies with the owner of the goods. Should a Purchaser or Customer not avail themselves of such cover, ALS can assist in providing faculatitive insurance cover placement for an additional fee upon written request.
  14. Reservation of Ownership – Risk in and to the goods shall pass to the Purchaser in accordance with the Incoterm reflected on the quotation. Ownership of the goods will vest with ALS until the Purchaser has effected full payment of the purchase price as required in the payment terms referred to in the quotation. The obligation to insure the goods will depend on the Incoterm reflected on the quotation. The point of delivery of the goods from ALS to the Purchaser will be as reflected on the Purchaser’s order, and or ALS’s commercial invoice, and will depend upon the Incoterm chosen.
